When amending an LLC there are two important items you have to keep in mind. When the creation of the LLC was formed, there were two forms you had to fill out. First was the Articles of Organization while creating the LLC and then you had the LLC operating agreement to fill out after the LLC was created. If there are changes to be made to the LLC, you must amend the Articles of Organization and the LLC operating agreement in order to complete the process.
There are five main reasons as to why someone would amend an LLC. If you are looking to change the company name for whatever reason, you will need to amend. If you are looking to add or remove a member from the LLC, you will need to amend. Also if you need to alter the purpose of the company or add capital contributions, you will need to amend. Depending on how many of these changes that you wish to alter, only create a new document if the changes exceed more than three but keep it if it's just a few to amend. Most states require that you file the amendment within a specified period of time so make sure you are aware of that timeframe in which you need to comply. Step 1: Make estimated tax payments
Make quarterly estimated tax payments to the IRS if your total tax bill in a given year will exceed $500. Estimated tax payments are due 4 times a year on April 15, June 15, September 15, and January 15.

Tip
Pay self-employment tax if your annual net earnings will be $400 or more.

Step 2: File a tax return
File an annual income tax return. The form you use will depend on how your business is organized -- whether it is a sole proprietorship, partnership, corporation, or limited liability corporation.

Forming a limited liability company can be a great way for business owners to avoid personal liability for the debts and liabilities of the company. However, being the sole member in a single-member LLC carries with it an enhanced risk of personal liability by creditors piercing the corporate veil and the alter ego doctrine. If the assets and the actions of the LLC are so intertwined that the LLC is merely the "alter ego" of the business owner, creditors may be able to pierce the corporate veil and go after the personal assets of the business owner to satisfy debts of the company.

Some of the most important steps that need to be taken to attempt to avoid a creditor being able to pierce the corporate veil are:

Steps
1 Choose Your LLC Name. - The first step in forming an LLC in New York is choosing the name for your business. It is best to keep in mind the industry you are in and the best way to brand your company.
To see if your name has already been registered, check the New York LLC Search.
2 Fill-Out New York Articles of Organization. - This is the official form for applying for an LLC in the State of New York. You will need to download and completely fill out this form either on your computer or printed out in neatly written black ink.
Attach filing fee of $200 made out to the Secretary of State.

How much does it cost to form an LLC?

The cost of your LLC will depend on how you go about forming it. You have 4 options:

1. DIY/do it yourself = $0-$300
2. Hire a lawyer = $1,050-$2,100
3. Use an online incorporation website = $199-$1,100
4. Go through our free online course = $0

The reason for the sliding scale is whether or not you need to hire a Commercial Registered Agent.

You do not need hire a Commercial Registered Agent if:

A. You have a street address located in the state where you're forming your LLC.
